Terms of engagement

These terms apply to professional services offered by SmartDistSys through smartdistsys.digital. By requesting or accepting an engagement, you agree to them.

Acceptance

A binding engagement begins when you accept a written quote that references these terms, or when you confirm by email that fieldwork may start. Website browsing alone does not create an audit obligation.

Services

SmartDistSys provides distribution finance audits and related reviews for warehouse networks. Scope, deliverables, timelines, and fees are defined in the quote. Work outside that scope requires a written change order.

Client responsibilities

You will provide accurate records, timely site access, and contacts who can explain warehouse practices. Delays in access or documents may extend timelines and fees as stated in the quote.

Intellectual property

Working papers remain the property of SmartDistSys. The final findings pack delivered to you may be used internally for your finance, governance, and external accounting discussions. You may not resell the report or present it as an independent statutory audit opinion unless the quote expressly states otherwise.

Confidentiality

Both parties will protect non-public business information obtained during the engagement and use it only for performing or receiving the services, except where disclosure is required by law.

Liability

SmartDistSys performs work with professional care. We are not liable for decisions you make solely on the basis of draft findings, for losses caused by incomplete records you supply, or for indirect or consequential damages. Our aggregate liability for an engagement is limited to the fees paid for that engagement, except where Taiwan law prohibits such limitation.

No statutory audit

Unless a quote expressly engages us to issue a regulated opinion under applicable Taiwanese professional standards, our work is a contractual review and findings service — not a substitute for a licensed CPA statutory audit.

Governing law

These terms are governed by the laws of Taiwan (Republic of China). Courts located in Taiwan shall have jurisdiction over disputes arising from the engagement, without prejudice to any mandatory consumer protections that apply.
